Official Rules
 
1.NO PURCHASE IS NECESSARY TO ENTER OR WIN.

2.The WSPA 2011 Kitchen Makeover Contest is sponsored by Media General Operations, Inc. d/b/a WSPA-TV (“WSPA”), and the following prize suppliers: Simon Noone Construction, Bob Burnett’s Appliance, Parker Carpet One, Ferguson Bath, Kitchen & Lighting Gallery, East Coast Granite & Tile, and Designer Kitchens & More (each a “Prize Supplier“) (WSPA and Prize Suppliers are collectively referred to as “Sponsors”). The geographic scope of this contest extends to limited areas in North Carolina and South Carolina (see below). Limit one (1) entry per household. “Household” includes all persons residing together in a single residence, whether or not related.

3.Contest begins on February 1, 2011 and ends on March 11, 2011. Entry deadline is February 28, 2011 at 11:59 p.m. Eastern Time (“ET”). WSPA’s computer is the official time-keeping device for this Contest promotion. Grand Prize Winner will be announced on or about March 11, 2011.

4.Contest is subject to all federal, state and local laws. Void where prohibited by law. By entering, all entrants agree to these Official Rules and to the decisions of WSPA and the Contest Judges, which are final in all respects. A Form-1099 will be issued in the amount of the Grand Prize awarded to Grand Prize Winner. Grand Prize Winner is solely responsible for all federal, state and local taxes (including income taxes) associated with the receipt of the Grand Prize.

ELIGIBILITY

5.At the time of entry, all entrants must be twenty-one (21) years old and legal residents of either North Carolina or South Carolina, living either within sixty (60) miles of WSPA’s Greenville office (located at 33 Villa Road, Suite 425 Greenville, SC 29615) or within sixty (60) miles of WSPA’s Spartanburg’s office (located at International Drive, Spartanburg, SC 29303).

6.To be eligible, entrants also must own a single-family residence or condominium unit and have the legal right and authority to make the desired kitchen remodeling changes and to enter into binding contracts with the various Prize Suppliers as needed for the kitchen makeover. Mobile homes or trailers are not eligible for a prize in this Contest.

7.In addition, if you are selected as a Finalist, you must be available for an interview and on-site home assessment, which will be conducted at the home identified in your entry between March 2 and March 10, 2011, and if you are selected as the Grand Prize Winner, your home must be available for the Grand Prize renovation, which will be performed between March 15, 2011 and April 26, 2011. Renovation dates are subject to change in Sponsors’ discretion in the event of unforeseen or unavoidable circumstances.

8.Employees of Media General Operations, Inc. d/b/a WSPA-TV, Simon Noone Construction, Bob Burnett’s Appliance, Parker Carpet One, Ferguson Bath, Kitchen & Lighting Gallery, East Coast Granite & Tile, and Designer Kitchens & More, and the members of their immediate families (defined as spouse, parents, siblings or children) and households (whether or not related), are not eligible to enter or win.

GRAND PRIZE

9.Grand Prize: Grand Prize consists of the following make-over elements from the specified Prize Suppliers, up to a maximum total approximate retail value (“ARV”) of $41,406.00: a.Construction: A certificate redeemable for the following services from Simon Noone Construction as needed for kitchen makeover: demolition/removal of existing components for new installation, relocation of existing plumbing components and new fixtures, patching and repairing of drywall as needed, labor costs for hardwood flooring installation, labor costs for installation of wall and base cabinets, installation of wall and floor trim carpentry framing, painting of new construction items, and permit and disposal fees. ARV: $14,250.00. b.Appliances: A certificate redeemable for a Bosch Linea 300 Series Refrigerator (Model B22CS30SNS), a Bosch 300 Series Evolution™ Electric Range (Model HES3053U), a Bosch 300 Series Over-the-Range Microwave (Model HMV3051U), Stainless Steel, and a Bosch 24” Ascenta Evolution Dishwasher (Model SHE4AM15UC) from Bob Burnett’s Appliance. ARV: $3,996.00. c.Flooring: A certificate redeemable for up to two thousand five hundred dollars ($2,500.00) worth of eligible flooring products (ceramic, hardwood or luxury vinyl tiles) from Parker Carpet One. ARV: $2,500.00. d.Fixtures: A certificate redeemable for three thousand dollars ($3,000.00) in Mirabelle stainless steel undermount sink, including an Insinkerator disposal, Monogram Brass basket strainers, and flanges, Mirabelle faucet and Thomas Lighting decorative and recessed light fixtures, and one thousand five hundred dollars ($1,500.00) worth of other kitchen accessories from Ferguson Bath, Kitchen & Lighting Gallery. ARV: $4,500.00. e.Countertops: A certificate redeemable for up to three thousand four hundred dollars ($3,400.00) in eligible granite or quartz countertops from East Coast Granite & Tile. ARV: $3,400.00. f.Cabinets: A certificate redeemable for a maximum of ten thousand dollars ($10,000.00) in 6 Square Cabinetry, four hundred and sixty dollars ($460.00) in Faux Wood Blinds and Box Pleated Valances (standard), one thousand eight hundred dollars ($1,800.00) in designer package (including consultation, site measurements, 2020 design process and project consultation), and five hundred dollars ($500.00) in before and after photos, from Designer Kitchens & More. ARV: $12,760.00.

PRIZE RESTRICTIONS

10.ARV of individual prize elements and Grand Prize as a whole will vary based on options selected by Grand Prize Winner, subject to feasibility and availability as determined by Prize Suppliers. Certificates and redeemable products and services are subject to availability, installation feasibility and additional restrictions and limitations as may be imposed by their respective issuing Prize Suppliers. Contact Prize Suppliers for additional information. In the event that Grand Prize Winner requests upgrades or additional services or items not specified above, such requests are subject to the discretion of the relevant Prize Suppliers and Grand Prize Winner is solely responsible for any additional costs, fees or other expenses associated with such requests.

11.All details of all prizes shall be at Sponsors’ sole discretion. Grand Prize Winner assumes sole responsibility for all costs associated with the prizes not explicitly outlined above, including without limitation, all federal, state and local taxes (if any), fees, and surcharges on a prize. Grand Prize Winner may be required to enter into standard construction or other agreements with respective Prize Suppliers. Grand Prize Winner must utilize all elements of Grand Prize during the scheduled home makeover, currently planned for March 15, 2011 to April 26, 2011. Any elements not so used by Grand Prize Winner will be forfeit and no cash substitute will be offered or permitted. Renovation dates are subject to change in Sponsors’ discretion in the event of unforeseen or unavoidable circumstances. Specific prize elements may be subject to supply limitations. Redemption of certificates may be subject to additional terms, conditions and/or restrictions as may be imposed by the relevant Prize Supplier and that Sponsors are not responsible for any failure or default in the provision of such goods or services by such Prize Supplier.

12.All elements of Grand Prize are provided directly by Prize Suppliers and not WSPA; all elements are provided “as is” with no warranty or guarantee either express or implied by Sponsors except as may be required by law. Merchandise prizes carry no warranty other than that offered by manufacturers. Sponsors have neither made nor are responsible or liable for any warranty, representation, or guarantee, express or implied, in fact or in law, relative to any prize, including but not limited to its quality, mechanical condition or fitness for a particular purpose. Other restrictions apply.

13.Except as otherwise stated above, prizes are not transferable, non-negotiable and not redeemable for cash, credit or merchandise. Prizes may not be sold, bartered or auctioned. Prizes may not be substituted except that WSPA in its discretion may substitute a prize, or portion thereof, with a prize or portion of equal or greater value if it deems necessary. Any such changes will be announced.

TO ENTER

14.Entries will be accepted beginning February 1, 2011 at 5:00 a.m. ET and ending February 28, 2011 at 11:59 p.m. ET (“Entry Period”). To enter, visit www.wspa.com and complete an Official Entry Form with the following required information: (a) name, (b) address, (c) telephone number, (d) e-mail address, (e) the type of home owned, and (f) an essay of no more than two hundred (200) words that explains why you deserve to win a kitchen makeover (the “Essay”). No other method of entry will be permitted.

15.Entries must be complete and legible and must comply with the Submission Requirements below. Entries are void if incomplete, not legible, or if they contain errors. To be eligible, all entries must be received by WSPA no later than February 28, 2011 at 11:59 p.m. ET. Entrants who fail to provide any of the information or items required above, or who fail to provide them in the format required by these Official Rules, will not be eligible to win and will not be notified by WSPA. All entries become the property of WSPA and will not be returned or acknowledged

16.Limit one (1) entry per household, person or email address during the Entry Period. Additional entries received from any such person or email address thereafter will be void. Uses of automated devices are not valid for entry. Any individual who attempts or otherwise encourages, directly or indirectly, the entry of multiple or false contact information under multiple identities, or uses any robotic, automatic, mechanical or programmed device or artifice to enter or encourage, directly or indirectly, multiple or false entries, as determined by WSPA in its sole discretion, will be disqualified. WSPA reserves the right in its sole discretion to disqualify any entry at any time that, in WSPA’s opinion, does not comply with these Official Rules.

17.Entrants will see a web page confirming the entry after submission. Entries must include a valid e-mail address for the entrant. In the event of a dispute as to the identity or eligibility of a winner based on an e-mail address, the winning entry will be deemed made by the “Authorized Account Holder” of the e-mail address number used at time of entry. “Authorized Account Holder” is defined as the natural person, 21 years of age or older, who is assigned to an e-mail address by an Internet access provider, online service provider, or other organization (e.g., business, education institution, etc.) that is responsible for assigning e-mail addresses for the domain associated with the submitted e-mail address or the natural person, 21 years of age or older.

18.The information that you provide in connection with the Contest may be used by WSPA in accordance with its Privacy Policy, which is found at www.wspa.com and which may be updated from time to time.

SUBMISSION REQUIREMENTS

19.All Essays submitted during the Contest must satisfy the following “Submission Requirements”: (a) Essays must be your original unpublished work and must not contain any material that violates or infringes any third party’s rights, including but not limited to privacy, publicity, or intellectual property rights, or that constitutes copyright infringement; (b) Essays must be written in English and free of any text formatting (bold, italics, etc.) and must be no more than 200 words; (c) Essays must not contain material that promotes bigotry, racism, hatred, or harm against any group or individual or promotes discrimination based on race, sex, religion, nationality, disability, sexual orientation or age; (d) Essays cannot contain material that is inappropriate, obscene, indecent, tortuous, offensive, violent, hateful, or defamatory, or that disparages WSPA or contains any other content otherwise prohibited by or contrary to law; (e) No copyright notices or watermarks may be added to or included in the Essay.

20.Any Essay that is determined by WSPA in its sole discretion at any time during the Contest to violate the Official Rules (including the Submission Requirements) or to otherwise be unsuitable, offensive or in poor taste, may be rejected and the accompanying entry disqualified. WSPA retains sole discretion as to whether any Essay satisfies the Submission Requirements and its decisions are final.

LICENSE

21.By entering this Contest, each entrant grants to WSPA a non-exclusive, perpetual, worldwide, royalty-free, irrevocable license to copy, distribute, display, adapt, publish and make derivative works from the Essay, or any portion thereof, in WSPA's marketing materials (including without limitation those relating to WSPA) in any media now known or hereafter created, including publication and distribution of the Essay or portions thereof, on WSPA's web site (including www.wspa.com) without further compensation.

WARRANTY

22.By submitting an Essay, each entrant warrants that the Essay is original, was written solely by the entrant, does not violate any copyright laws, and does not plagiarize, libel, defame, disparage, slander or otherwise infringe on or violate the rights of any third parties. Each entrant agrees to indemnify and hold harmless WSPA, its parent company and subsidiaries, their respective officers, directors, employees and affiliated organizations, from and against any and all claims, demands, damages, costs, liabilities and causes of action of whatsoever nature that are based upon or arise out of any breach by the entrant of these Official Rules or the warranties and representations made in this paragraph.

FINALIST SELECTION AND NOTIFICATION

23.On March 1, 2011, or within a reasonable time thereafter, WSPA will convene a panel of qualified judges (“Contest Judges”) who will judge all entries using the following equally weighted criteria: (a) clarity, (b) persuasiveness, (c) demonstrated need for kitchen makeover, (d) expressiveness, and (e) overall compelling appeal of story. Subject to verification of eligibility, the ten (10) entrants whose entries receive the highest overall scores by the Contest Judges will be declared the Finalists. In the event of a tie, the entry with the highest score in the “overall compelling appeal of story” category will be declared the Finalist. WSPA reserves the right to select fewer than ten (10) Finalists in that event that it does not receive a sufficient number of eligible, timely and properly submitted entries.

24.WSPA will contact all potential Finalists in accordance with the information supplied to WSPA on their Entry Forms. Finalists may be verified over the telephone at the time and may be asked to provide WSPA with valid identification and execute an affidavit of eligibility and, where legal, a publicity release. Acceptable identification includes a valid driver’s license or other valid picture ID showing name and address. Faxes will not be accepted. Finalists may also be required to sign other legal documents, including a release supplied by WSPA that, among other disclaimers, releases Sponsors and a range of subsidiaries, directors, agents, agencies, affiliates, franchisees, promoters, officers, directors, employees and related persons from any and all liability related to this Contest, the home interview and the site assessment. Upon verification of eligibility, the names of Finalists may be posted, in WSPA’s sole discretion, on the WSPA’s website at www.wspa.com.

25.In the event that any potential Finalist (a) cannot be contacted directly by WSPA within two (2) days from initial attempted notification, (b) fails to satisfy any eligibility or verification requirement herein, (c) declines to participate in the home interview and site assessment (see below), (d) or is otherwise determined to be ineligible, WSPA in its discretion may disqualify that individual and an alternate Finalist will be chosen in accordance with the previously announced judging criteria as soon as reasonably practicable after initial Finalist is determined to be ineligible. Alternate Finalists are subject to all eligibility requirements and restrictions of these Official Rules. If WSPA is unable to confirm a total of ten (10) eligible Finalists by March 7, 2011, no further attempts will be made and only the number of confirmed Finalists will remain eligible to compete for the Grand Prize.

HOME INTERVIEW/SITE ASSESSMENT

26.Upon notification and verification of eligibility of each Finalist, WSPA will schedule a home interview and site assessment, to take place between March 2, 2011 and March 10, 2011. Site assessments will be conducted by a team compromised of various staff members of Sponsors, including WSPA staff, contractor representative and design representative.

GRAND PRIZE WINNER SELECTION

27.On March 11, 2011, or within a reasonable time thereafter, WSPA will convene a second panel of Contest Judges, who will judge the Finalist entries based on the following equally weighted criteria as influenced by the site assessment and home interview: (a) ideal scale of kitchen, (b) potential need for structural changes and/or related issues impacting on feasibility of kitchen makeover, (c) potential impact of kitchen makeover on home’s market value, and (d) potential visual impact of kitchen makeover. Subject to verification of eligibility, the Finalist whose entry receives the highest overall scores by the Contest Judges will be declared the Grand Prize Winner. In the event of a tie, the Finalist whose entry receives the highest score in the “potential visual impact of kitchen makeover” category will be declared the Grand Prize Winner.

28.WSPA will contact the potential Grand Prize Winner in accordance with the information supplied to WSPA on his or here Entry Forms. Grand Prize Winner may be asked to execute another affidavit of eligibility to confirm ongoing eligibility. Grand Prize Winner may also be required to sign other legal documents, including tax forms and a release supplied by WSPA that, among other disclaimers, releases Sponsors and a range of subsidiaries, directors, agents, agencies, affiliates, franchisees, promoters, officers, directors, employees and related persons from any and all liability related to this Contest and the receipt and use of the prize including any activity relating to the kitchen renovation. Upon verification of eligibility, the name of the Grand Prize Winner may be posted, in WSPA’s sole discretion, on the WSPA’s website at www.wspa.com.

29.In the event that the potential Grand Prize Winner (a) cannot be contacted directly by WSPA within two (2) days from initial attempted notification, (b) fails to continue satisfying any eligibility or verification requirement herein, (c) is unwilling or unable to accept the Grand Prize, (d) or is otherwise determined to be ineligible, WSPA in its discretion may disqualify that individual and an alternate Grand Prize Winner will be chosen in accordance with the previously announced judging criteria as soon as reasonably practicable after initial Grand Prize Winner is determined to be ineligible. Alternate Grand Prize Winners are subject to all eligibility requirements and restrictions of these Official Rules. If WSPA is unable to confirm a Grand Prize Winner from all Finalists, no further attempts will be made and the Grand Prize will not be awarded.

PUBLICITY RELEASE

30.By accepting a prize, Grand Prize Winner agrees to award WSPA the right to publicize his or her name, photograph (including the use and appearance of winner's photograph on WSPA’s web page), likeness, biographical information, e-mail address, voice, images of home (before, after and during the remodeling) and details of winning for purposes of this and future promotions without further compensation, except where prohibited.

LIMITATION OF LIABILITY/DISCLAIMER OF LIABILITY

31.Entrants agree that Media General Operations, Inc. d/b/a WSPA-TV, Simon Noone Construction, Bob Burnett’s Appliance, Parker Carpet One, Ferguson Bath, Kitchen & Lighting Gallery, East Coast Granite & Tile, and Designer Kitchens & More, and a range of subsidiaries, directors, agents, agencies, affiliates, franchisees, promoters, officers, directors, employees and related persons (a) are not responsible for lost, interrupted, or unavailable network, server, or other connections, or for any failed telephone or computer hardware or software, or for any lost, misdirected, illegible, mutilated or damaged entry forms, or for any failed, delayed, misdirected, corrupted, or garbled transmissions or errors of any kind, whether human, mechanical, or electronic, or for entries that for any reason are not received by WSPA by the deadlines stated above; (b) are not responsible for any injury or damage to any computer, modem or other electrical device as a result of participation in this Contest or downloading of any software or materials; (c) are released from any and all liability related to this Contest and the receipt and use of any prize; and (d) will not be responsible for the inability to select winners because of postal failure, equipment failure, or data storage failure.

D/B/A WSPA-TV, SIMON NOONE CONSTRUCTION, BOB BURNETT’S APPLIANCE, PARKER CARPET ONE, FERGUSON BATH, KITCHEN & LIGHTING GALLERY, EAST COAST GRANITE & TILE, AND DESIGNER KITCHENS & MORE, AND THEIR RESPECTIVE SUBSIDIARIES, AFFILIATES, AGENTS, DISTRIBUTORS, RETAILERS, AND ALL OF THEIR RESPECTIVE ADVERTISING AND PROMOTIONAL AGENCIES, REPRESENTATIVES, EMPLOYEES, CONTRACTORS, OFFICERS, DIRECTORS, AND AGENTS (COLLECTIVELY, THE "RELEASED PARTIES") EXPRESSLY DISCLAIM ANY AND ALL WARRANTIES OF ANY KIND (WHETHER EXPRESS, IMPLIED, STATUTORY OR OTHERWISE), INCLUDING BUT NOT LIMITED TO, IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. RELEASED PARTIES SHALL NOT BE LIABLE OR RESPONSIBLE FOR THOSE GUARANTEES OR WARRANTIES MADE OR OFFERED BY ADVERTISERS, PARTNERS, MANUFACTURERS OR SUPPLIERS, INCLUDING THOSE RELATED TO THE PRIZE. UNDER NO CIRCUMSTANCES SHALL RELEASED PARTIES BE HELD RESPONSIBLE OR LIABLE FOR YOUR USE OF THE INFORMATION AND/OR PRODUCTS PROVIDED AND/OR MADE AVAILABLE THROUGH THE CONTEST OR FOR ERRORS OR ANOMALIES RESULTING IN THE UNINTENDED OR ERRONEOUS PARTICIPATION, AWARD OF PRIZE OR OTHER BENEFITS UNDER THESE OFFICIAL RULES. RELEASED PARTIES OFFER NO ASSURANCES, GUARANTEES OR WARRANTIES THAT THE CONTEST OR RELATED WEBSITES WILL BE UNINTERRUPTED OR ERROR-FREE AND DO NOT GUARANTEE THE ACCURACY OR RELIABILITY OF ANY INFORMATION OBTAINED THROUGH THE CONTEST. RELEASED PARTIES WILL NOT BE LIABLE, AND ARE NOT RESPONSIBLE, FOR DAMAGES OF ANY KIND RELATED TO YOUR PARTICIPATION IN OR INABILITY TO PARTICIPATE IN THE CONTEST, WHETHER THE DAMAGES ARE DIRECT, INDIRECT, INCIDENTAL, SPECIAL OR CONSEQUENTIAL.

33.BY ENTERING THE CONTEST AND/OR ACCEPTING A PRIZE, YOU AGREE THAT THE RELEASED PARTIES SHALL NOT BE LIABLE FOR, AND WILL BE HELD HARMLESS BY YOU AGAINST, ANY LIABILITY FOR ANY DAMAGE, INJURY OR LOSS TO PERSON (INCLUDING DEATH) OR PROPERTY RELATED IN WHOLE OR IN PART, DIRECTLY OR INDIRECTLY, TO ACCEPTANCE, POSSESSION, REDEMPTION, USE OR MISUSE OF PRIZE, PARTICIPATION IN ANY CONTEST-RELATED OR PRIZE-RELATED ACTIVITY, USE BY A RELEASED PARTY OF ANY ENTRY, PARTICIPATION IN THE CONTEST, OR ANY OTHER CLAIM OR CAUSE OF ACTION YOU MAY HAVE AGAINST A RELEASED PARTY.

34.SOME STATES DO NOT ALLOW THE LIMITATION OR EXCLUSION OF LIABILITY FOR INCIDENTAL OR CONSEQUENTIAL DAMAGES, SO THE ABOVE LIMITATIONS OR EXCLUSIONS MAY NOT APPLY TO YOU IN WHOLE OR IN PART.

MISCELLANEOUS

35.All federal, state and local laws apply. WSPA shall be entitled to interpret these Official Rules as needed — including but not limited to rules regarding entries, selection of winners, deadlines, restrictions on prizes, and eligibility — and all of its decisions are final. By entering, entrants agree to these Official Rules.

36.WSPA reserves the right to cancel, terminate or suspend this Contest or any part of this Contest should any non-authorized intervention, network failure, information storage failure, telecommunications failure, malfunction, or other causes beyond its control, corrupt or impair the security, administration, fairness and/or operation of this Contest as determined by WSPA in its sole discretion, at which time, WSPA will select the Grand Prize Winner from all non-suspect entries received at the time of the Contest cancellation, termination or suspension in accordance with the previously announced judging criteria.

37.WSPA reserves the right to prohibit any entrant from participating in the Contest if, at its sole discretion, WSPA finds such entrant to be tampering with the entry process or the operation of the Contest, or if such entrant repeatedly shows a disregard for, or attempts to circumvent, these Official Rules, or acts: (a) in a manner WSPA determines to be not fair or equitable; (b) with an intent to annoy, threaten or harass any other entrant or Sponsors; (c) with an intent to unfairly influence the outcome of this Contest in any way; or (d) in any other disruptive manner. Any person attempting to defraud or tamper with this Contest in any way will be ineligible for prizes and may be prosecuted to the full extent of the law. Tampering includes attempting to enter more than the number of entries permitted by these rules including by using an automated device or by using more than one e-mail address. Any failure by the WSPA to enforce any of these Official Rules shall not constitute a waiver of such Official Rules. ANY ATTEMPT BY A ENTRANT OR ANY OTHER INDIVIDUAL TO DELIBERATELY ATTEMPT TO UNDERMINE THE LEGITIMATE OPERATION OF THE CONTEST MAY BE A VIOLATION OF CRIMINAL AND/OR CIVIL LAW AND SHOULD SUCH AN ATTEMPT BE MADE, WSPA RESERVES THE RIGHT TO SEEK DAMAGES AND OTHER REMEDIES FROM ANY SUCH PERSON TO THE FULLEST EXTENT PERMITTED BY LAW.

38.WSPA reserves the right to correct typographical or clerical errors in any contest-related materials. No more than the stated number of prizes will be awarded. In the event that production, technical, seeding, programming or any other reasons cause more than the stated number of prizes as set forth in these Official Rules to be available and/or claimed, WSPA reserves the right to award only the stated number of prizes from among all legitimate, un-awarded, eligible prize claims in accordance with the previously announced judging criteria.

DISPUTES

39.By entering the Contest, entrants agree that (a) any and all disputes, claims, and causes of action arising out of or connected with the Contest, or any prizes awarded, shall be resolved individually, without resort to any form of class action; (b) any and all claims, judgments and awards shall be limited to actual out-of-pocket costs incurred, including costs associated with entering the Contest, but in no event attorneys' fees; and (c) under no circumstances will any entrant be permitted to obtain any award for, and entrant hereby waives all rights to claim punitive, incidental or consequential damages and any and all rights to have damages multiplied or otherwise increased and any other damages, other than for actual out-of-pocket expenses.

40.All issues and questions concerning the construction, validity, interpretation and enforceability of these Official Rules, or the rights and obligations of the entrants, WSPA and any other Sponsors in connection with the Contest, shall be governed by, and construed in accordance with the laws of the State of South Carolina, without giving effect to any choice of law or conflict of law rules or provisions that would cause the application of the laws of any jurisdiction other than the State of South Carolina. Any legal proceedings arising out of this Contest or relating to these Official Rules shall be instituted only in the federal or state courts located in the State of South Carolina, County of Spartanburg, and the parties consent to jurisdiction therein with respect to any legal proceedings or disputes of whatever nature arising under or relating to these rules. The invalidity or unenforceability of any provision of these Official Rules shall not affect the validity or enforceability of any other provision. In the event that any provision is determined to be invalid or otherwise unenforceable or illegal, these Official Rules shall otherwise remain in effect and be construed in accordance with their terms as if the invalid or illegal provision were not contained herein.

41.For a copy of the Official Rules or the name of the Grand Prize Winner, visit www.wspa.com or mail a self-addressed, stamped envelope to: 2011 Kitchen Makeover Contest c/o WSPA, 250 International Drive, Spartanburg, SC 29303, specifying either “Winner’s List Request” or “Official Rules Request.” Winner’s List will be available after April 30, 2011.
